Eduard Fasseur (Attorney-at-law)

Eduard has many years experience with mergers and acquisitions, public offers and joint ventures. He is also a specialist in the field of corporate law questions, strategic contracts, distribution models, compliance and risk management. Because of his extensive business experience, he knows better than anyone the balance between the legal interests of a company on the one hand and its commercial interests on the other.

Eduard advises companies on the legal implications of their next strategic step. With this background and his particularly pragmatic approach, he is in a unique position to advise clients on strategy, M&A, corporate governance, compliance and risk management.

Eduard worked as a lawyer at De Brauw between 2004 and 2012, where he advised private equity companies and corporates on acquisitions, including cross-border acquisitions (Vion, GEA, Panasonic), divestments (Philips, NXP, British Gas, Achmea), joint-ventures (NXP) and the successful public offers for Koninklijke Grolsch, Océ, Econosto, DNC and Hunter Douglas. Eduard is also co-author of “Commentary on Financial Law, Part II – Public Bids Decree”, SDU 2011.

Eduard was an in-house M&A lawyer at Pon Holdings B.V. from May 2012 to July 2015. and advised on the acquisition of, among others, Santa Cruz MTB, the de-listing from Derby Cycle AG, the divestments of Material Handling Europe,  lease portfolios and  joint ventures in Brazil and Vietnam). He was also legally responsible for Pon Bike Group (including setting up a new selective distribution network for Gazelle).

From July 2015 – June 2022, Eduard was general counsel at Pon Automotive, the importer for the Dutch market of vehicles manufactured by Volkswagen Group and which also has  retail activities in the Netherlands, Germany, the United States and Vietnam. During his time at Pon Automotive, he was involved in, among other things, the legal relationship with Volkswagen AG and the handling of Volkswagen’s Diesel matter. He was also involved in advising on various mobility start-ups. Between 2019 and 2022 he was also responsible for privacy and compliance matters at Pon Automotive. Finally, he was a member of the Pon Corporate Compliance Committee, responsible for the global compliance framework of Pon Holdings.

Eduard holds a Masters degree in Dutch law from the Erasmus University, Rotterdam. He also successfully completed the postgraduate courses in national and international contracting at Grotius Academy as well as the Mergers & Acquisitions course: law, finance, skills at the VU University, Amsterdam.

Eduard is registered in the following principal legal practice area in the register of the Dutch Bar: Corporate Law.
